Compliance Reporting Alternatives
Tollgrade has established a mechanism to permit
employees and other interested parties to confidentially
and anonymously report possible violations
of law, government regulations or Tollgrade's
Code of Business Conduct and Ethics (the "Code")
to members of senior corporate management and
to the Chairman of the Audit Committee of the
Board of Directors through Ethicspoint®,
an independent third-party reporting system. In
addition, employees and other interested parties
may use Ethicspoint to report concerns regarding
questionable accounting, internal accounting
controls or auditing matters.
Employees are encouraged
to report potential issues directly to the
applicable Code of Ethics Contact Person specified
in the Code. However,
